TERMS AND CONDITIONS OF USE
Effective Date: 17 November 2025
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICES. THESE TERMS CONSTITUTE A LEGALLY BINDING CONTRACT BETWEEN YOU AND RAWA. BY CHECKING A BOX INDICATING YOUR ACCEPTANCE, CLICKING ‘SIGN UP & SUBSCRIBE’, OR BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT USE THE SERVICES.
1. Eligibility
The Services are intended for use by parents, legal guardians, educators, and adult caregivers on behalf of children, as well as by older learners, if applicable. You must be at least 18 years old to create an account and purchase any Service. The contract of the Services is between Rawa Activities LLC and the parent/legal guardian or other adult account holder. Children may access and use the Services only under the supervision of a parent or legal guardian (or an authorised educator) and only through an adult-created account. We do not permit minors to create accounts or provide personal data without verifiable parental or guardian consent, in accordance with applicable laws.
If you are a parent, legal guardian or educator:
- you are responsible for the child’s use of the Services and for ensuring such use is appropriate and in accordance with these Terms and applicable law.
- by creating any child profiles or otherwise providing information about a child, you represent and warrant that you are the child’s parent or legal guardian (or are properly authorised by them) and that all such information is accurate; and
- you consent to our processing of the child’s personal data as described in our Privacy Policy.
If we become aware that a child has created an account without appropriate consent, we may suspend or delete the account.
2. Accounts and Security
You may need an account to access certain features of the Services. You agree to provide accurate, current, and complete information when creating an account and to maintain and promptly update it. You are responsible for safeguarding your login credentials and for all activities under your account. You must notify us immediately at info@rawalearning.com of any actual or suspected unauthorized use of your account or any security breach. We may, at our discretion, suspend, restrict or terminate your account or access to the Services at any time if we believe that you have violated these Terms, engaged in fraudulent, abusive or unlawful activity, or if your account has been compromised. We may contact you using your registered details in case of suspected misuse or a security incident.
3. Subscriptions, Billing, and Free Trials
Paid Subscriptions. Certain Services are offered on a paid subscription basis. By starting a subscription, you authorize us (and our third-party payment processors) to charge your chosen payment method at the applicable recurring subscription price until you cancel in accordance with these Terms.
Pricing. The subscription price applicable at the time you subscribe will be clearly displayed at checkout. Promotional or introductory prices are valid only for the period stated in the offer; thereafter, the subscription will automatically renew at the then-current standard price unless you cancel. We may change prices, features and billing cycles from time to time; where required by law, we will provide reasonable advance notice of any material price change.
Auto-Renewal Disclosures. By subscribing, you agree that:
- your subscription will automatically renew at the end of each billing period; and
- the payment method associated with your account will be charged at the then-current rate, plus any applicable taxes, on each renewal date, until you cancel.
For annual plans, we will send advance renewal reminders as required by applicable law. You can cancel future renewals at any time through your account settings or by contacting us at info@rawalearning.com. Cancellations take effect at the end of the current billing period and you will continue to have access until that date.
Free Trials. If we offer a free trial, the length of the trial and applicable terms will be stated at sign-up. Unless you cancel before the end of the trial period, your subscription will automatically convert to a paid subscription at the then-current rate and your payment method will be charged. We will provide clear information on how to cancel before you are charged.
Cancellation and Refunds. For monthly subscriptions, you may cancel and request a full refund within fourteen (14) days from the earlier of: (i) the start of service; or (ii) the billing date for that month. For annual subscriptions, you may cancel and request a full refund within fourteen (14) days from the earlier of: (i) the start of service; or (ii) the billing date of that year.
After the applicable refund window ends, payments are non-refundable and your cancellation will stop future renewals while access continues through the end of the then-current billing period. Refunds, where applicable, will be issued to the original payment method within a reasonable time after cancellation is processed, subject to any mandatory consumer rights under the applicable laws. Nothing in this section limits any mandatory rights you may have as a consumer under UAE Federal Law No. 15 of 2020 on Consumer Protection and its implementing regulations.
Gift Subscriptions; Codes. From time to time, we may offer gift subscriptions, prepaid codes, or access vouchers. These are non-reloadable, have no cash value, may expire or be subject to additional terms disclosed at purchase or issuance, and will not be replaced if lost, stolen, or used without permission except where required by law.
Taxes. Subscription fees and other charges are exclusive of applicable taxes, duties and levies, unless expressly stated. Where required, we will collect and remit taxes; otherwise, you are responsible for any applicable taxes.
Payment Issues; Chargebacks. We may suspend or terminate your access to the Services for non-payment, payment method failure or chargebacks. You remain responsible for any amounts not successfully processed. We may use third-party fraud-screening tools and may require updated or alternative payment methods.
Promotions. Promotional codes, discounts, and introductory offers are subject to their specific terms, have no cash value, and may not be combined with other offers. We may modify or revoke promotions at any time to the extent permitted by law.
4. Supplemental Terms
5. Orders for Physical Products; Shipping; Risk of Loss; Returns
Orders and Availability. All orders for physical products (such as flashcards) are subject to acceptance by us. We may limit quantities, refuse orders or discontinue products at any time, including after you place an order (in which case we will issue a refund if we have already charged you).
Pricing and Errors. Prices for physical products are subject to change without notice. Displayed prices exclude taxes, shipping, handling, duties and other fees unless expressly stated. We may correct errors or inaccuracies (including pricing or availability) at any time; if we cancel an order after you have been charged, we will refund you in full.
Shipping and Delivery. We or our fulfilment partners will arrange shipment to the delivery address you specify at checkout. Delivery dates and times are estimates only and are not guaranteed. Transit times may be affected by customs clearance, weekends, public holidays or other factors outside our reasonable control. Title and risk of loss transfer to you when we deliver the products to the carrier. After that point, you are responsible for filing any claims with the carrier for damaged or lost shipments. We may not ship to all locations; certain addresses (including P.O. Boxes or remote areas) may be ineligible or subject to additional charges. International shipments may be subject to customs clearance, import duties and taxes, which are your responsibility unless we clearly indicate otherwise at checkout.
Carrier terms. Shipments are fulfilled through our third-party delivery partners or authorised carriers. Delivery times are estimates and subject to the carrier’s operational constraints, including customs clearance, weekends and local holidays. Shipping rates generally include any applicable fuel surcharge but exclude customs duties, taxes, clearance-related charges and other fees, which are your responsibility. Remote locations, overweight/oversize packages or restricted destinations may incur additional surcharges. The delivery partner’s terms and conditions of carriage (and any other applicable carrier terms) apply to all shipments and may limit or exclude the carrier’s liability. Cancellation fees, re-delivery fees or other carrier charges may apply in accordance with those policies.
Inspection and Acceptance. Please inspect your products promptly on receipt and notify us of any shortages or visible damage within a reasonable time (and in any event within 7 (seven) days) after delivery. Where a product is defective or not as described, and you notify us within a reasonable time, we will repair, replace or refund the product in accordance with applicable UAE consumer protection laws.
Returns and Refunds (physical products). Physical products, including flashcards and related materials, are not eligible for return or refund unless they are defective or incorrectly supplied. We do not accept returns for change of mind, opened items, or items that have been used, damaged or altered after delivery. If you believe a product is defective, you must notify us as soon as reasonably possible (and in any event within 48 hours of delivery for any visible damage or defect) using the contact details provided on our website. We may request photographs, a description of the defect, or return of the product for inspection. Where a defect is confirmed, we will, at our discretion and in accordance with UAE consumer protection laws, either: (i) repair the product; (ii) replace the product with the same or a comparable item; or (iii) refund the purchase price to the original payment method. We will bear any return shipping costs for defective items.
Nothing in this policy limits your statutory rights under UAE Federal Law No. 15 of 2020 on Consumer Protection and Cabinet Decision No. 66 of 2023, including your right to a repair, replacement or refund where a defect is established.
Safety Notices. Our physical products are designed for educational use. Adult supervision is recommended at all times. Some products may contain small parts and are not suitable for children under 3 years of age due to choking hazards. Always follow the safety warnings and age-grading instructions on the product packaging.
6. Educational Nature; No Professional Advice
The Services are for educational and informational purposes only. They are not a substitute for professional advice, diagnosis or individualised instruction (including medical, therapeutic or clinical services). If you have concerns about a learner’s development, health or educational needs, you should consult an appropriately qualified professional.
We do not guarantee any particular learning outcomes, examination results or other performance metrics.
Parental Supervision; Content Settings. The Services may include settings that allow parents or guardians to manage content access (for example, age-appropriate levels) and usage limits. You are responsible for configuring such settings in line with your preferences and for monitoring your child’s use of the Services. We comply with the applicable laws that protect the privacy and well-being of minors using online services.
Our Services are designed to be used together with a responsible adult. We do not continuously monitor a child’s use of the Services. You are responsible for supervising the child’s use, deciding which activities are appropriate, and ensuring that the child does not share information that you consider sensitive or confidential.
7. License to Use the Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your personal, non-commercial educational use (or, if you are an educator, for educational use with your students in accordance with our policies).
You may not:
- reproduce, distribute, publicly perform or publicly display the Services or any content except as expressly permitted;
- modify or create derivative works from the Services;
- reverse engineer, decompile or otherwise attempt to extract source code from any software forming part of the Services; or
- remove, obscure or alter any proprietary notices
8. Content and Feedback
Our Content. All content provided through the Services, including videos, audio, text, software, characters, artwork, interfaces, logos, designs and other materials, is owned by or licensed to Rawa and is protected by copyright, trade mark and other intellectual property laws. We reserve all rights not expressly granted in these Terms.
Community Features. If the Services include forums, leaderboards, challenges, classes or other social features, you agree to abide by any posted community guidelines. We may moderate, remove or restrict content or access at our discretion to protect users (especially children) and our Services.
Feedback. If you submit ideas, suggestions or feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and exploit such feedback without restriction or compensation.
9. Acceptable Use
You agree not to:
- use the Services for any unlawful, harmful, fraudulent or abusive purpose, or in violation of these Terms or applicable law;
- upload, post, transmit or otherwise make available any content that is illegal, infringing, obscene, defamatory, harassing, hateful, discriminatory, exploitative of children or otherwise objectionable;
- interfere with or disrupt the operation of the Services, including by introducing malware, carrying out denial-of-service attacks or overloading our systems;
- attempt to access accounts, data or systems without authorisation, or circumvent security measures or usage restrictions;
- use the Services to develop, train or improve any competing product or service without our prior written consent;
- sell, resell, sublicense or commercially exploit the Services (other than as expressly permitted in a separate written agreement with us);
- use bots, scrapers, scripts or other automated means to access or interact with the Services without our prior written consent; or
- cheat or manipulate leaderboards, streaks or assessments (for example, by sharing answers or artificially inflating progress).
Security Violations. You further agree not to: (i) access data not intended for you or log into a server or account you are not authorized to access; (ii) probe, scan, or test the vulnerability of any system or network or breach security or authentication measures; (iii) engage in any denial-of-service attack; (iv) use any device, software, or routine to interfere with the proper working of the Services; or (v) harvest or collect information about others (including email addresses) without consent. Violations may result in civil or criminal liability and we may cooperate with law enforcement.
We take the safety of children seriously. If we become aware of content or behaviour on the Services that we reasonably believe may pose a risk to a child, we may take appropriate action, which may include removing content, suspending accounts and, where required or appropriate, reporting our concerns to the competent authorities in the United Arab Emirates.
10. Communications; Consent to Electronic Records
By creating an account or providing your contact details, you consent to receive electronic communications from us relating to your account, transactions, updates and other information required to provide the Services. Where you opt in to marketing communications, you may opt out at any time using the unsubscribe link in our emails or by contacting us. You agree that electronic communications satisfy any legal requirement for written communications, to the extent permitted by law.
11. Third-Party Services and Links
The Services may include links to or integrations with third-party websites, platforms, content or services (for example, payment gateways, app stores or analytics providers). We do not control and are not responsible for such third-party materials, and your use of them is at your own risk and may be subject to separate terms and privacy policies. When you access the Services via a mobile network or device, your network provider’s data and messaging rates may apply. Some Services or features may be restricted by your provider or device.
12. Mobile Apps and Software
If you download or use any Rawa mobile application or other software, we grant you a limited, non-exclusive, non-transferable licence to install and use such software on a device that you own or control, solely to access the Services in accordance with these Terms. You agree to install updates that we make available.
App-store providers (such as Apple or Google) are not parties to these Terms and have no responsibility for the Services, but their own usage rules may apply to your use of any app downloaded through their platforms. If you downloaded an app from the Apple App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to that app and may enforce these Terms against you.
Certain components may be subject to open-source licences. To the extent required, those licences will govern the use of such components.
We may perform scheduled or unscheduled maintenance, updates or other work on the Services, during which availability may be temporarily affected
13. Privacy
Your use of the Services is subject to our Privacy Policy, which forms part of these Terms and describes how we collect, use, disclose and safeguard personal data, including children’s data. We comply with Federal Decree-Law No. 45 of 2021 regarding the Protection of Personal Data (PDPL) and other applicable UAE laws. By using the Services, you acknowledge our data-processing practices as described in the Privacy Policy. Where we provide Services to schools or educational institutions, we will process student information in accordance with our agreements with those institutions and applicable law, including any requirements to obtain parental or guardian consent. If there is any conflict between these Terms and the Privacy Policy about how we process personal data, the Privacy Policy prevails.
14. Storage; General Practices and Limits
We may establish general practices and limits relating to the use of the Services, including limits on storage, message size, file size, or the number of times you may access the Services in a given period. We are not liable for the deletion or failure to store any content or data maintained or transmitted using the Services. Data may be hosted in the United Arab Emirates or other countries, subject to the PDPL and our Privacy Policy. By using the Services, you consent to such storage locations, where permitted by law.
15. Intellectual Property; Trademarks; Copyright Complaints
All trade marks, logos, service marks, characters and brand elements displayed in connection with the Services are the property of Rawa or their respective owners. You may not use them without our prior written consent.
If you believe that material on the Services infringes your copyright or other intellectual property rights, please contact us at: info@rawalearning.com or +971 50 558 8727. Your notice must include:
- a description of the copyrighted work you claim has been infringed;
- a description of where the material that you claim is infringing is located on the Services;
- your address, telephone number, and email address;
- a statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf; and
- your electronic or physical signature. Submitting false claims may result in penalties under applicable law.
We will review your notice and take appropriate action in accordance with applicable law, which may include removing or disabling access to the material and, where appropriate, notifying the relevant user.
16. Beta Features; Changes to the Services
From time to time we may offer features identified as beta, preview or experimental. Such features may be modified or discontinued at any time and are provided “as is” without any warranty. We may update, improve, replace, modify, impose limitations on, or discontinue all or part of the Services at any time, subject to applicable law (for example, in relation to ongoing subscriptions). If you do not agree with material changes, your sole remedy is to stop using the Services and, where applicable, cancel your subscription.
17. International Use; Export Controls
You are responsible for complying with all local laws applicable to your use of the Services, including export-control and sanctions laws. You may not use the Services in any country or territory subject to comprehensive sanctions under UAE law or other applicable sanctions regimes, and you represent that you are not on any applicable government restricted-party list. We may restrict access to the Services where required by law.
18. Disclaimers
YOUR USE OF THE SERVICES, THEIR CONTENT, AND ANY RELATED SERVICE IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, INCLUDING ALL CONTENT, SOFTWARE, FEATURES, AND PHYSICAL PRODUCTS, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT CONTENT WILL BE ACCURATE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. CONTENT AVAILABILITY MAY VARY BY GEOGRAPHY AND DEVICE. DO NOT USE THE SERVICES WHILE DRIVING OR IN SITUATIONS REQUIRING ATTENTION TO SAFETY. FOR PHYSICAL PRODUCTS, TO THE EXTENT A WRITTEN LIMITED WARRANTY IS PROVIDED WITH A PRODUCT, THAT WRITTEN WARRANTY GOVERNS.
Some jurisdictions do not allow the exclusion of certain warranties; in such cases, the above exclusions apply only to the extent permitted by law. These exclusions and limitations apply to the fullest extent permitted by law and do not affect any rights you may have which cannot be excluded under applicable consumer protection law.
19. Limitation of Liability
IN NO EVENT WILL RAWA OR ITS AFFILIATES, OR ANY PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, MISUSE OF, OR INABILITY TO USE THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE TOTAL COLLECTIVE LIABILITY OF RAWWA ACTIVITIES, ITS AFFILIATES, AND THEIR EMPLOYEES, LICENSORS, OR CONTRACTORS FOR ALL DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO RAWA FOR THE SERVICES OR PRODUCT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS (US$100), WHICHEVER IS GREATER.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law (for example, liability for death or personal injury caused by negligence, or for fraud). These exclusions and limitations apply to the fullest extent permitted by law and do not affect any rights you may have which cannot be excluded under applicable consumer protection law.
20. Indemnification; Release
You agree to indemnify, defend and hold harmless Rawa, its affiliates, and their respective officers, directors, employees and agents from and against any claims, demands, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or relating to:
- your use or misuse of the Services or products;
- your User Content; or
- your breach of these Terms or violation of applicable law.
Release. In the event that you have a dispute with another user related to, arising from, or in any way connected with use of the Services, you release Rawa and its affiliates from any claims, demands, and damages of every kind and nature arising out of or in any way connected with such a dispute, to the fullest extent permitted by law.
21. Termination and Suspension
We may suspend or terminate your access to the Services (in whole or in part) at any time, with or without notice, including if we believe you have violated these Terms or engaged in fraudulent or illegal activity. Upon termination, your right to use the Services will cease, but the provisions of these Terms that by their nature should survive will survive, including ownership provisions, warranty disclaimers, limitations of liability, and indemnities.
Upon termination or suspension of your account, your access to the Services and to any associated content or features will cease. We may, but are not obliged to, delete or anonymise User Content and other data associated with your account, subject to our legal obligations and our Privacy Policy. We are not responsible for any loss of data or content as a result of termination or suspension.
22. Dispute Resolution; Arbitration; Class Action Waiver
Informal Resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at info@rawalearning.com and providing a brief written description of the dispute. We will attempt to resolve the dispute informally within 60 days.
Arbitration Agreement. If we cannot resolve the dispute informally, you and Rawa agree to resolve any claim, dispute, or controversy arising out of or relating to these Terms or the Services (each, a “Dispute”) by binding individual arbitration administered by the Dubai International Arbitration Centre (DIAC) under the applicable rules. The seat of arbitration will be Dubai (for DIAC). The arbitration will be conducted in accordance with the laws of the United Arab Emirates. The arbitrator may award any relief available in court that is consistent with these Terms.
Class Action Waiver. You and Rawa agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding.
Opt-Out. You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice to info@rawalearning.com clearly stating that you wish to opt out of arbitration. If you opt out, or if this clause is found unenforceable, Section 23 (Governing Law and Courts) will apply to any Disputes.
Exceptions. Either party may bring an individual action in a court of competent jurisdiction in the United Arab Emirates for eligible small-value claims or seek emergency injunctive relief in a court of competent jurisdiction to maintain the status quo pending arbitration, and either party may seek injunctive relief for infringement or misappropriation of intellectual property rights.
Time to Bring Claims. To the fullest extent permitted by law, any claim arising out of or relating to the Services must be filed within one (1) year after the claim arose; otherwise, the claim is permanently barred.
23. Governing Law and Courts
24. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice as required by law, such as by posting a notice on the Services or sending an email. The updated Terms will be effective as of the “Effective Date” above unless otherwise stated. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.
25. Entire Agreement; Severability; No Waiver; Assignment
These Terms, together with any applicable supplemental terms, ordering documents, and our Privacy Policy, constitute the entire agreement between you and Rawa regarding the Services and supersede any prior agreements. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the remainder will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign any rights or obligations under these Terms without our prior written consent; we may assign these Terms without restriction.
Notices. We may provide notices to you by posting to the Services, by email, or by other reasonable means. You are responsible for keeping your contact information current. Notices to us must be sent to the address in Section 27.
26. Force Majeure
We will not be liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor conditions, governmental actions, supply chain disruptions, utility failures, internet or telecommunications outages, or other events of force majeure.
